These Terms of Service ("Terms") form a binding agreement between you and My Service Builder LLC ("My Service Builder", "we", "us", or "our") and govern your access to and use of the My Service Builder websites, applications, and related services (together, the "Service"). Please read these Terms carefully. By creating an account, starting a trial, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
My Service Builder is a cloud-based software platform that helps heating, ventilation, and air conditioning (HVAC) and related service companies build, price, and manage maintenance agreements, estimates, equipment records, jobs, locations, and related business documents. The Service is provided on a subscription basis and is accessed through a web browser.
We may add, change, or remove features over time in order to improve the Service. We will use reasonable efforts to notify you of material changes that significantly reduce the core functionality available to you.
You must be at least 18 years old and able to form a legally binding contract to use the Service. The Service is intended for business and professional use and is not directed to consumers or to children.
To use most features of the Service you must create an account. You agree to provide accurate and complete information and to keep that information up to date. You are responsible for all activity that occurs under your account and for keeping your password confidential. You agree to notify us promptly at support@myservicebuilder.com if you suspect any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account that results from your failure to safeguard your credentials.
We may offer a free trial of the Service for a limited period. The features and length of any trial are described at the time you sign up. We do not require a credit card to begin a trial unless stated otherwise. At the end of the trial period your access may be limited or suspended until you start a paid subscription. We reserve the right to modify or discontinue trial offers at any time.
Paid access to the Service is sold on a recurring subscription basis billed monthly or annually, as selected at checkout. By starting a paid subscription you authorize us and our payment processor to charge your payment method for the applicable fees.
Payments are processed by Stripe, Inc. Your card and billing details are collected and stored by Stripe in accordance with its terms and privacy policy. We do not store full payment card numbers on our own systems.
Subscriptions renew automatically at the end of each billing period at the then-current rate, unless you cancel before the renewal date. You authorize these recurring charges until you cancel.
Fees are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, value added, or similar taxes that apply to your subscription, other than taxes based on our income.
We may change our subscription fees from time to time. If we change the fee that applies to your subscription, we will give you advance notice by email or through the Service. Price changes take effect at your next renewal. If you do not agree to a price change, you may cancel before it takes effect.
If a payment fails, we may retry the charge and may suspend or limit your access until payment is received. You remain responsible for amounts that are due.
You may cancel your subscription at any time. Cancellation, renewal, and refund terms are described in our Refund and Cancellation Policy, which forms part of these Terms.
You agree not to misuse the Service. In particular, you agree that you will not:
We may investigate suspected violations and may suspend or terminate accounts that violate this section.
You retain all rights in the data, documents, and other content that you submit to the Service ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely as needed to provide and support the Service, to maintain and improve it, and as otherwise permitted by our Privacy Policy.
You are responsible for the accuracy and legality of Customer Data and for having the rights needed to submit it. You are responsible for maintaining your own copies of important data. We maintain reasonable backups but do not guarantee against all loss of data.
The Service, including its software, design, text, graphics, logos, and other materials we provide, is owned by My Service Builder or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. No rights are granted except as expressly stated in these Terms.
The Service may link to or rely on third-party products and services, such as payment processing, email delivery, and analytics. We are not responsible for third-party services, and your use of them may be subject to their own terms. Reference to a third party does not imply endorsement.
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error free, or completely secure, or that any estimate, calculation, or output produced through the Service will be accurate or suitable for a particular purpose. You are responsible for reviewing and verifying the results you generate before relying on them.
To the maximum extent permitted by law, in no event will My Service Builder or its officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you paid to us for the Service during the twelve months immediately before the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless My Service Builder and its officers, employees, and agents from and against any claims, damages, liabilities, and reasonable expenses, including attorney fees, that arise out of your Customer Data, your use of the Service, or your violation of these Terms or of any law or third-party right.
These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your continued use poses a risk to the Service or to other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination, including those on Customer Data, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.
Following termination, we may delete Customer Data after a reasonable period in accordance with our Privacy Policy. You may request an export of your data before your account is closed.
We may update these Terms from time to time. If we make material changes, we will provide notice by email or through the Service before the changes take effect. Your continued use of the Service after the effective date of the updated Terms means you accept them. If you do not agree to the updated Terms, you should stop using the Service.
These Terms are governed by the laws of the State of Iowa, United States, without regard to its conflict of laws rules. You agree that the state and federal courts located in Polk County, Iowa will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts. Before filing a claim, you agree to first contact us at support@myservicebuilder.com so that we can try to resolve the matter informally.
Entire Agreement. These Terms, together with the Privacy Policy and the Refund and Cancellation Policy, are the entire agreement between you and My Service Builder regarding the Service and replace any prior agreements on that subject.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of nature, outages of third-party services, or government action.
